"), having the right, in accordance with the legislation of the Russian Federation, to drive a passenger taxi, as well as to work as a driver of a passenger taxi and / or business as a carrier._cc781905-5cde-3194- bb3b-136bad5cf58d_This document contains all the essential conditions for the provision of agency and information services to drivers aimed at to connect them to the Yandex.Taxi Service. IMPERIA LLC - official Yandex.Taxi partner, having a valid agreement with Yandex.Taxi for the provision of services to provide drivers with access to the Yandex.Taxi service. 

Any use of the Yandex.Taximeter application, as well as sending an application for connection and transfer to the Agent of copies of the documents of the Carrier contract on the terms and conditions set forth therein, and the written form of this contract shall be deemed to have been complied with. Before using the Yandex.Taximeter program, please carefully read the terms of this offer.

If you do not accept the terms of this public offer in full, you do not have the right to use the Yandex.Taximeter application for any purpose. 

If you comply with these terms, the Yandex.Taxi service grants a limited, non-exclusive, non-transferable license that allows you to download and install the Yandex.Taximeter application on one mobile device that you own and / or control, and use such copy of the application solely for personal use.

1. TERMS AND DEFINITIONS

The Yandex.Taxi  service is a service designed to automatically receive and transfer orders from customers for the transportation of passengers and luggage by passenger taxis, which allows remote interaction between the client and Carriers, as well as providing other functionality, a full description of which provided in the Service User Guide.

The Yandex.Taximeter  service is a service designed for the automated acceptance by the Carrier of orders for the transportation of passengers and luggage by passenger taxis, as well as providing other functionality, a full description of which is given in the Service manual.

Service/Services - services access to which is provided by the Agent to the Carrier in accordance with the terms of this Agreement.

Agent - intermediary, natural or legal person who assists in establishing contacts and concluding transactions, contracts between producers and consumers, sellers and buyers of goods and services. 

Carrier - a person registered as an individual entrepreneur or an individual who has the right to drive a vehicle and actually controls the vehicle when transporting passengers and luggage by passenger taxi.

Partner web interface  - a functional part of the Yandex.Taximeter Service, available to the Agent after authorization using the Agent's login and password, allowing the Agent to configure the Yandex.Taximeter Service in accordance with his preferences within the available options , to interact remotely with Yandex, as well as providing access to statistics on the use of the Yandex.Taximeter Service and the Service for the Carrier.

Registration - a set of actions of the Agent to provide data to Yandex and generate unique authorization data, as a result of which the Carrier is assigned a login and password to access the Yandex.Taximeter Service.

Order - a request or offer to the Carrier (Charter) to sell him a specific product or type of service.

Client - a person (individual or legal entity) interested in the performance by the contractor (Carrier) of work, the provision of transport services by him or the purchase from the seller (Carrier) of the services of any product (in the broad sense).

Public offer — An offer containing all the essential terms of the contract, from which the will of the person making the offer is seen to conclude an agreement on the conditions specified in the offer with anyone who responds, is recognized as an offer (public offer)._cc781905-5cde -3194-bb3b-136bad5cf58d_

Agency agreement - is an agreement under which one party ("Agent") undertakes, for a fee, to perform legal and other actions on behalf of the other party (Principal, hereinafter referred to as the Carrier) on its own behalf, but at the expense of the principal or on behalf of and at the expense of the principal.

2. SUBJECT OF THE CONTRACT

2.1. 2.2 The carrier unconditionally accedes to the terms of this contract.

2.3 The Agent, during the term of this agreement, provides intermediary information services for placing orders for motor transport services (transportation of passengers and luggage) by transferring orders to the Carrier in the Yandex.Taxometer application.

2.4 Tariffs and services for the carriage of passengers and baggage posted on the website of IMPERIA LLC are unconditionally accepted by the Carrier and are an integral part of this offer agreement.

2.5 The Agent may provide the Carrier with communication services with customers, communication services with operators that control the progress of orders. 

2.6 The transfer of information is carried out by the Agent to serviceable means of mobile communication with the Android operating system to the Yandex.Taxometer application installed by the Carrier. The Yandex.Taximeter application is available for download  at Playmarket.

2.7 The carrier independently performs using the Yandex.Taximeter application:  

-necessary telephone conversations with the client

- notification of the client about the delivery of the car to the address using an SMS message or a message from an auto-informer, by pressing the status "On the spot", or by self-telephone communication with the client.

2.9 The distribution of information on orders is carried out by automatic assignment in turn to the cars closest to the delivery address, taking into account the rating of the Carrier.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. The agent undertakes:

3.1.1. Provided that the Carrier completes the registration procedure, provide the Carrier with a login and password to access the Yandex.Taximeter Service;

3.1.2. Together with Yandex technical support specialists, ensure the operability of the Services, correct errors that occurred during their operation, except for cases related to a malfunction of the Carrier’s equipment, errors of the Carrier when using the Services or its own technical means and devices;

3.1.3. Inform the Carrier about the change in the cost of the Services through a publication on the Internet on the website of IMPERIA LLC at least one calendar day before the effective date of the cost of the Services; 

3.1.4. Provide the Carrier with round-the-clock access to the Yandex.Taxometer Service, except for the time of preventive maintenance by Yandex technical support employees;

3.1.5. Warn the Carrier on the TAXIVO LLC website about upcoming maintenance work on the Yandex server, which may affect the Yandex.Taxometer Service;

3.1.6. Provide the Carrier with the necessary technical and user information about the Services;

3.1.7. Inform the Carrier about updates in the operation of the Services and provide access to new versions of the Services. After the release of a new version of the Service, Yandex Agent does not guarantee the stability and duration of the previous version of the Service. The presence of any errors in the operation and / or inoperability of previous versions of the Service will not be a failure or improper performance of the Agent's obligations. 

3.2. The agent has the right:

3.2.1. Without agreement with the Carrier, unilaterally establish and change the commission charged for the Services provided to the Carrier, establish and change the tariffs and services for the transportation of passengers and baggage posted on the website of IMPERIA LLC

3.2.2. Proceed to the provision of services under this agreement on the day of receipt of funds from the Carrier.

3.2.3 Terminate this contract unilaterally or reduce priority for failure by the Carrier to fulfill obligations under the terms of this contract. 

3.2.4. Unilaterally suspend the provision of services in case of violation by the Carrier of obligations and conditions under this agreement, as well as due to:

- malfunctions of the Carrier's communication facilities,

- due to an insufficient balance of funds on the Carrier's personal account, the limit of which is set by the Agent at its discretion,

- in case of any deception of the Agent by the Carrier.

3.2.5 Accept orders from customer-passengers who agree to deliver the car in the near future in order to provide the Carrier with mostly bona fide customers. Refuse to deliver a car to customers that are not adequate in the opinion of call center operators. 

3.2.6 Provide other Carriers with an advantage in receiving orders by lowering the Carrier's rating in case of violation of the terms of this agreement. 

3.2.7 Conclude payment agreements with customers that provide for cashless payments for the provision of services for the carriage of passengers and baggage. 5cde-3194-bb3b-136bad5cf58d_    

3.2.8 Using SMS and other methods to inform the Carrier at any time of the day about the insufficient number of cars or about the increase in the cost of orders. 

3.2.9 Suspend the provision of services under the contract if the Carrier disagrees with clause 3.3.8 of this contract.

3.2.10 Impose a fine on the Carrier and/or reduce priority, block access to the Service for:

- non-confirmation of the appointment by the Carrier of the next order with the active status "Free"

- repeated delay of the Carrier to the address of delivery of the car at the specified time

- rude communication of the Carrier with a client or a call-center operator, the use of profanity

- dirty car body of the Carrier with dry road surface 

- deliberate understatement or overstatement by the Carrier of the cost of the order

- failure by the Carrier of the preliminary order

- disagreement of the Carrier or contestation by the Carrier of the cost of orders

- untidy appearance of the Carrier (the driver of the Carrier) or unpleasant odors in the car

- flood or spam in the Yandex.Taximeter chat

- the absence of restraints or the refusal of the Carrier to fulfill orders for the transportation of children

- refusal to fulfill the accepted order by the Carrier

- non-fulfillment by the Carrier of the booked order 

- Smoking by the Carrier in the car or giving the client a car with a smoky interior

- the Carrier has no exchange or change from any banknotes of the Russian Federation

- premature completion of the order by the Carrier with the calculation of the taximeter

- ignorance of the city by the Carrier

- uncoordinated with the Agent distribution by the Carrier of competitors' advertising 

- dirty or wet seats in the cabin of the Carrier's car

- the movement of the Carrier with passengers in the car with the active status "Waiting"

- disrespectful or intolerant behavior of the Carrier in relation to the call-center staff, Agent or customers

- deception by the Carrier of call-center operators

- fulfillment by the Carrier of a canceled order without notifying the call center operators

- transfer by the Carrier of its login and password to third parties

3.2.11 A verbal or written statement to the Agent from the client about the paid, overpriced or understated cost of the order by the Carrier entitles the Agent to unilaterally recalculate the cost of the order in his favor or in favor of the clients.

3.3. The carrier is obliged:

3.3.1. Use the Services only within the limits of those rights and in the ways provided for in this Agreement, and in compliance with all the terms of the guidelines for using the Services;

3.3.2. Do not transfer passwords and logins used to access the Yandex.Taximeter Service to third parties, ensure their confidentiality. All actions performed using the received login and password are considered to be committed by the Carrier, and the Carrier is responsible for such actions;

3.3.3 Timely pay for the Services in the manner and in the amount established by the terms of this Agreement;

3.3.4 Provide services to clients only at the rates set by Yandex or the Agent, announced to the client when placing an order, or according to the taximeter of the Yandex.Taxometer application. 

3.3.5 Have a change and change from any banknote of the Russian Federation.

3.3.6  Use only Markups in the Yandex.Taximeter application or involve the call center operator in the calculation of the cost. By independently pressing the “Finish” button, the Carrier fully agrees with the order amount calculated using the program or the call center operator, the terms of cash or non-cash payment for the order. 

3.3.7 Make an advance payment for the Services under this agreement to the current account of IMPERIA LLC or through the terminals of the QIWI payment system, correctly indicate your password in the comments when making payments. Payment instructions are posted by the Agent on the website of IMPERIA LLC

3.3.8 When completing an order, make all changes using the Markup function or with the involvement of call center operators. 

3.3.9 When rendering services to a client, observe the laws of the Russian Federation, the norms of courtesy and morality. Comply with the requirements of the current legislation governing the activities in the field of transportation of passengers and baggage.

3.3.10 Provide the Agent with the registration details of the permit to carry out activities for the transportation of passengers and luggage by passenger taxis issued by the authorized body. Immediately notify the Agent in writing of any changes made to the initial data of the car, change of the mobile phone number used by the Service to communicate with the client. 

3.3.11 Wait for the client at the delivery address before and during the execution of the order, according to the rules of the Service. 

3.3.12 Carry out the transportation of passengers with children under 12 years of age using child restraints appropriate for the weight and height of the child, or other means that allow the child to be fastened using the seat belts provided for by the design of the vehicle, and in the front seat of a car - only with using child restraints.

3.3.13 Every day, before connecting to the Yandex.Taxometer application, get acquainted with the news, tariffs and services that the Agent places on the website of IMPERIA LLC, or in the messages of the Yandex.Taxometer application. When connecting to the Service, the Carrier is not entitled to refer to the fact that he did not familiarize himself in a timely manner:

- with the Legislation of the Russian Federation regulating the transportation of passengers and luggage by passenger taxis,

- with the terms of this agreement,

- with news and tariffs on the website and in the Yandex.Taximeter app,

3.3.14 Carry in a passenger taxi as hand luggage the belongings of customers, while the norms for the carriage of baggage, the carriage of hand luggage in a passenger taxi are established by the Carrier.

3.3.14.1  The carrier is not entitled to refuse to accept baggage for transportation, carry-on baggage by passenger taxi, if the properties or packaging of items included in the baggage, carry-on baggage meet the requirements established by the rules for the carriage of passengers.

3.3.14.2 Carry as hand luggage things that pass freely through doorways, do not pollute or damage the seats, do not interfere with the driver to drive a taxi and use rear-view mirrors.

3.3.14.3 Carry luggage in the luggage compartment of a passenger taxi, provided that the dimensions of the luggage allow it to be carried with the luggage compartment lid closed.

3.3.14.4 Refuse to transport foul-smelling (flammable, explosive, toxic, corrosive, etc.) substances, cold steel and firearms without covers and packaging, things (objects) that pollute vehicles or passengers' clothes.

3.3.14.5 Transport dogs in muzzles with leashes and bedding, small animals and birds in cages with a blank bottom (baskets, boxes, containers, etc.), if this does not prevent the driver from driving a taxi and using rear-view mirrors.

3.3.15  Обязательство по уплате государственных обязательных платежей за перечисленные Агентом денежные средства, указанные в пункте 4.5 настоящего договора за услуги легковых такси от Клиентов_cc781905- 5cde-3194-bb3b-136bad5cf58d_and bonuses from Yandex.Taxi lies with the Carrier. 

3.4 Carrier instructs: 

3.4.1 The Agent shall independently set and change the cost for the carriage of passengers and baggage, increase or decrease it, depending on weather conditions and the number of incoming orders, manage the Carrier's balance by automatically debiting funds for the information services provided to him._cc781905-5cde-3194- bb3b-136bad5cf58d_

3.4.2 Call-center operators to complete orders by pressing the Paid status when the connection with the Service is lost.

4. REMUNERATION AND PAYMENT PROCEDURE

4.1. The Parties agreed that in relation to any monetary obligations of the Parties under the Agreement, legal interest (interest on the amount of debt for the period of use of funds) provided for in Art. 317.1 of the Civil Code of the Russian Federation are not charged.

4.2 Instructions for payment by the Carrier for Services to the Agent through payment terminals with instant automatic transfer of funds to the Carrier's account is published by the Agent on the website www.imperiya777.com.

4.3 Clients of the Yandex.Taxi Service can pay for trips in cash or by bank cards. To accept payment from a client's bank card, the Carrier may have its own terminal in the car, linked to its current account of an individual entrepreneur or other legal entity. 4.3.1 The client can make online payments for trips with a bank card by linking it to the application for ordering a taxi. In this case, money for non-cash orders is automatically credited to the Carrier's account.

4.4 Funds for non-cash orders executed by the Carrier, as well as subsidies from Yandex.Taxi, are credited automatically to the Carrier's account. From this account, the money can be spent by the Carrier to write off the commission for completed orders Yandex.Taxi and other providers.

4.5 The minimum balance on the account of the application The taximeter required to charge off the commission for completed orders is set by the Agent and published on the site www.imperiya777.com .

The amount exceeding the established balance, upon application, is transferred to the bank account of the carrier providing services for the transportation of passengers and luggage by passenger taxis within 10 working days.

4.6 To withdraw funds from the account for non-cash orders and subsidies from Yandex, the Carrier needs send a WhatsApp message to 8-994-777-000-1 and provide the following information: bank details of the current account (BIC of the bank , ИНН банка, номер счёта, наименование получателя платежа) город выполнения заказов и контактный телефон. 

5. WARRANTY

5.1. The Parties guarantee that they have all the necessary powers to conclude and execute this Agreement.

5.2 The Carrier warrants to the Agent that it has all the necessary powers to conclude and execute the agency agreement.

5.3 The Carrier warrants to the Agent that when using the Yandex.Taximeter service, it complies with Terms of use of the Yandex.Taxi Serviceand provides passenger transportation services in compliance with the following standards:

Federal Law No. 259-FZ of November 8, 2007 "Charter of Road Transport and Urban Surface Electric Transport"

Decree of the Government of the Russian Federation of February 14, 2009 No. 112 "On approval of the Rules for the carriage of passengers and baggage by road and urban ground electric transport"

Federal Law No. 69-FZ dated April 21, 2011 "On Amendments to Certain Legislative Acts of the Russian Federation"

Decree of the Government of the Russian Federation of October 23, 1993 No. 1090 "On the Rules of the Road"

6. PRIVACY

6.1 Obligations to maintain confidentiality do not apply to publicly available information or information that becomes publicly known due to circumstances beyond the control of the Agent.

6.2  In the event of intentional or unintentional disclosure of confidential information by the Carrier, the Carrier undertakes to compensate, at the request of the Agent, the damage caused by this disclosure.

6.3 The term of protection of confidential information is limited by the Agent for a period of 3 (three) years from the date of expiration of the Agreement.

7. RESOLUTION OF DISPUTES

7.1. The Parties undertake to take the necessary measures to ensure that any disputes, disagreements or claims arising in the course of fulfilling obligations under this Agreement are settled through negotiations.

7.2. In the event that the dispute is not settled through negotiations, the Parties establish a mandatory pre-trial claim procedure for resolving the dispute.

7.3. In case of receipt of a claim, any of the Parties is obliged, within 10 (ten) working days from the date of its receipt, to consider the claim and submit proposals to the other Party for its settlement, indicating the terms of settlement.

7.4. In the event that the Parties do not come to an agreement on disputed issues during the period for considering the claim specified in clause 7.3 of this Agreement (including in the absence of a response to the claim and the receipt of a refusal to satisfy the claim), the dispute is subject to consideration in court at the place of registration of the Agent .

8. RESPONSIBILITY OF THE PARTIES

8.1 The Agent shall not be liable to the Carrier and/or its clients (customers, partners, users) for any indirect/indirect losses, including lost profits, loss of information, loss of production/business and/or third parties in connection with the execution of the Contract , regardless of whether the Agent could have foreseen the possibility of causing such damages in a particular situation or not.

8.2 In case of violation by the Carrier of the terms of use of the Services, the Agent has the right to unilaterally refuse to perform the Agreement and demand compensation for real damage caused by the termination of the Agreement.

8.3 The Agent is not liable and does not compensate for any losses, including any damage, direct or indirect, caused to the Carrier or third parties as a result of the use or inability to use the Services, their individual components and / or functions.

8.4 In the event that the Carrier fails to comply with the guarantee provided for in clause 5.2 of the Agreement, as a result of which claims, claims and/or lawsuits are presented to the Agent by any third parties, the Carrier undertakes to settle these claims, claims and/or claims on its own and at its own expense, as well as compensate the Agent for the actual (proven) damage incurred in connection with this.

8.5 The Agent is released from liability for non-fulfillment and/or improper fulfillment of obligations under this Agreement, if such non-fulfillment was the result of force majeure circumstances (force majeure) beyond the control of the Agent, which, among others, include natural disasters, fires, man-made accidents and catastrophes, accidents at engineering structures and communications, riots, military actions, terrorist acts, riots, civil unrest, strikes, regulations of state authorities and local governments that prevent the Agent from fulfilling its obligations under this Agreement, that is, emergency and insurmountable under these conditions, the circumstances that occurred after the conclusion of this Agreement. The Agent, referring to the impossibility of fulfilling obligations due to the occurrence of force majeure circumstances, is obliged to notify the Carrier about this. The fact of the occurrence of force majeure circumstances must be confirmed by the relevant competent organizations.

8.6  The carrier personally bears administrative, criminal, material liability for violation of the current legislation of the Russian Federation and any violations, damage, damage caused when providing services for the carriage of passengers and baggage to customers and / or third parties._cc781905-5cde -3194-bb3b-136bad5cf58d_

8.7 The Agent is not responsible for any damage resulting from the use (or inability to use) the Yandex.Taximeter application, including for losses caused by:

- lack of communication

- malware,

-viruses or any inaccuracy or incompleteness of information.

8.8 Responsibility to customers for the quality of the provision of transport services lies entirely with the Carrier, as a provider of transport services, which ultimately provides such transport services. Under no circumstances shall the Agent assume liability in connection with and/or as a result of the provision of transportation services provided by the transportation service provider or any acts, actions, conduct and/or negligence on the part of the transportation service provider. Any complaints regarding transport services provided by the Carrier as a transport service provider shall be made only to the transport service provider. The Agent is not a party to the charter agreement concluded between the Charterer (client-passenger) and the Charterer (Carrier), but is an intermediary that allows the parties to interact with each other.

8.9 The Agent is not responsible for the consequences of incompleteness and/or inaccuracy of information on the order received from the client.

8.10. In case of violation of the terms of the contract, disrespectful or offensive attitude of the Carrier to the Agent, failure to follow the instructions and instructions of the Agent, failure to comply with corporate standards for the quality of Yandex.Taxi customer service, invitations to cooperate with competitors, a_cc781905-5cde -3194-bb3b-136bad5cf58d_ as well as other actions that damage the business reputation of the Agent, the Carrier undertakes to reimburse the Agent  for all losses incurred, as well as pay compensation in the amount of 300,000 rubles. (Three hundred thousand rubles) within 10 working days.

9. TERM AND TERMINATION

9.1 This Agreement is considered concluded for the Carrier and enters into force from the moment of acceptance of the offer, and is valid until the end date of the provision of services, or until the early termination of the agreement by the Agent  unilaterally.

9.2 If 30 (thirty) days before the expiration of the Agreement, none of the Parties declares in writing their unwillingness to renew the Agreement, it is considered to be prolonged on the same terms for the next year.

9.3 The Agreement may be terminated:

- by agreement of the Parties at any time;

- any of the Parties in the manner of unilateral refusal to execute the Agreement by sending a written notice to the other Party at least 30 (thirty) working days before the date of termination;

- by the Agent in the manner of unilateral refusal to fulfill the Agreement in case of violation by the Carrier of the terms of the Agreement, if such violation was not eliminated by the Carrier within a reasonable time, but in any case not more than 10 (ten) calendar days from the date of notification of such violation;

- on other grounds provided for by this Agreement and / or the current legislation of the Russian Federation.

9.4 Termination of the Agreement for any reason does not release the Carrier from liability for violations of the terms of the Agreement that occurred during the term of its validity. 

10. SUPPLY AND ACCEPTANCE OF SERVICES

10.1 The parties agreed not to draw up in writing acts of acceptance and delivery of services rendered. 

10.2 The Agent's partner web-interface keeps automatic receipt and expenditure of funds, as well as automatic accounting of orders accepted and completed by the Carrier for the last 45 days.

11. OTHER TERMS

11.1 The law of the Russian Federation shall apply to this Agreement and the relations of the Parties arising from the Agreement.

11.2 If necessary, the exchange of documents under this Agreement by the parties is carried out by courier, by mail with return receipt, by e-mail.

11.3 The Parties are obliged to immediately notify each other in writing of all changes in addresses, banking and other details.

11.4 The Parties agreed that the documents should be sent by the Parties to each other in a timely manner  by e-mail with the obligatory simultaneous sending of the original documents by courier service (or mail).

11.5 These terms and conditions may be changed by IMPERIA LLC without any special notice, the new edition comes into force from the moment it is posted on the IMPERIA LLC website, unless otherwise provided by the new edition. If IMPERIA LLC has made any changes to this agreement with which you do not agree, then you must stop using the Yandex.Taxometer application.
